TERMS of Sale

BACKGROUND:

These Terms of Sale set out the terms under which Goods are sold by Us to business customers through this website, www.cleancert-hygiene.co.uk (“Our Site”).  Please read these Terms of Sale carefully and ensure that you understand them before ordering any Goods from Our Site.  You will be required to read and accept these Terms of Sale when ordering Goods.  If you do not agree to comply with and be bound by these Terms of Sale, you will not be able to order Goods through Our Site.  These Terms of Sale, as well as any and all Contracts are in the English language only.

  1. Definitions and Interpretation
    • In these Terms of Sale, unless the context otherwise requires, the following expressions have the following meanings:

 

“Contract” means a contract for the purchase and sale of Goods, as explained in Clause 7;
“Goods” means the goods sold by Us through Our Site;
“Order” means your order for Goods;
“Order Confirmation” means Our acceptance and confirmation of your Order;
“Order Number” means the reference number for your Order; and
“We/Us/Our” Means CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL), a company registered in England under 07530722, whose registered address is Unit 16b Grosvenor Drive, Wyndham Business Place, Tisbury, Wiltshire, SP3 6GS and whose main trading address is the same.

 

  1. Information About Us
    • Our Site, www.cleancert-hygiene.co.uk, is owned and operated by CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL), a limited company registered in England under 07530722, whose registered address is Unit 16b Grosvenor Drive, Wyndham Business Place, Tisbury, Wiltshire, SP3 6GS and whose main trading address is Unit 16b Grosvenor Drive, Wyndham Business Place, Tisbury, Wiltshire, SP3 6GS. Our VAT number is 128709888.
    • Our products are regulated by HSE and MHRA.

 

  1. Access to and Use of Our Site
    • Access to Our Site is free of charge.
    • It is your responsibility to make any and all arrangements necessary in order to access Our Site.
    • Access to Our Site is provided “as is” and on an “as available” basis. We may alter, suspend or discontinue Our Site (or any part of it) at any time and without notice.  We will not be liable to you in any way if Our Site (or any part of it) is unavailable at any time and for any period.
    • Use of Our Site is subject to Our Website Terms of Use https://cleancert-hygiene.co.uk/terms-conditions/. Please ensure that you have read them carefully and that you understand them.

 

  1. Business Customers and Consumers
    • These Terms of Sale apply to business customers only. These Terms of Sale do not apply to individual consumers purchasing Goods for personal use (that is, not in connection with, or for use in, their trade, business, craft, or profession).
    • These Terms of Sale constitute the entire agreement between Us and you with respect to your purchase of Goods from Us. You acknowledge that you have not relied upon any statement, representation, warranty, assurance, or promise made by or on behalf of Us that is not set out in these Terms of Sale and that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based upon any statement herein.

 

  1. International Customers

Please note that We only sell to customers in the United Kingdom, unless there is a pre arranged distribution agreement from an authorised distributor or agent.  We do not accept orders from, or deliver to, customers outside the United Kingdom.

 

  1. Goods, Pricing and Availability
    • We make all reasonable efforts to ensure that all descriptions and graphical representations of Goods available from us correspond to the actual Goods. Please note, however, the following:
      • Images of Goods are for illustrative purposes only. There may be slight variations in colour between the image of a product and the actual product sold due to differences in device displays and lighting conditions;
      • Images and/or descriptions of packaging are for illustrative purposes only, the actual packaging of Goods may vary.
      • Due to the nature of the Goods sold through Our Site (and that they depend on extraneous factors) there may be up to a 25 % variance in the capacity of those Goods between the actual Goods and the description.
    • Please note that sub-Clause 6.1 does not exclude Our responsibility for mistakes due to negligence on Our part and refers only to minor variations of the correct Goods, not to different Goods altogether. Please refer to Clause 10 if you receive incorrect Goods (i.e. Goods that are not as described).
    • Where appropriate, you may be required to select the required model and number of the Goods that you are purchasing.
    • We cannot guarantee that Goods will always be available. Stock indications are not provided on Our Site
    • Minor changes may, from time to time, be made to certain Goods between your Order being placed and Us processing that Order and dispatching the Goods, for example, to reflect changes in relevant laws and regulatory requirements, or to address particular technical or security issues. Any such changes will not change any main characteristics of the Goods and will not normally affect your use of those Goods.  However, if any change is made that would affect your use of the Goods, suitable information will be provided to you.
    • In some cases, as explained in the description of Goods on Our Site, more significant changes may be made to the Goods. If any such changes are made and will affect your Order, We will notify you in writing before the changes take effect and you will be given an opportunity to cancel your Order (or the affected part thereof), and We will issue a refund for any Goods paid for but not received.
    • We make all reasonable efforts to ensure that all prices shown on Our Site are correct at the time of going online. We reserve the right to change prices and to add, alter, or remove special offers from time to time and as necessary.  All pricing information is reviewed and updated every 3 months.  Changes in price will not affect any order that you have already placed (please note sub-Clause 6.10 regarding VAT, however).
    • All prices are checked by Us before We accept your Order. In the unlikely event that We have shown incorrect pricing information, We will contact you in writing to inform you of the mistake.  If the correct price is lower than that shown when you made your Order, We will simply charge you the lower amount and continue processing your Order.  If the correct price is higher, We will give you the option to purchase the Goods at the correct price or to cancel your Order (or the affected part of it).  We will not proceed with processing your Order in this case until you respond.  If We do not receive a response from you within 5 days, We will treat your Order as cancelled and notify you of this in writing.
    • In the event that the price of Goods you have ordered changes between your Order being placed and Us processing that Order and taking payment, you will be charged the price shown on Our Site at the time of placing your Order.
    • Prices on Our Site are shown exclusive of VAT. If the VAT rate changes between your Order being placed and Us taking payment, the amount of VAT payable will be automatically adjusted when taking payment.
    • Delivery charges are not included in the price of Goods displayed on Our Site. For more information on delivery charges, please note any orders under £100 will incur a charge .  Delivery options and related charges will be presented to you as part of the order process.

 

  1. Orders – How Contracts Are Formed
    • Our Site will guide you through the ordering process. Before submitting your Order you will be given the opportunity to review your Order and amend it.  Please ensure that you have checked your Order carefully before submitting it.
    • If, during the order process, you provide Us with incorrect or incomplete information, please contact Us as soon as possible. If We are unable to process your Order due to incorrect or incomplete information, We will contact you to ask to correct it.  If you do not give Us the accurate or complete information within a reasonable time of Our request, We will cancel your Order and treat the Contract as being at an end.  If We incur any costs as a result of your incorrect or incomplete information, We may pass those costs on to you.
    • No part of Our Site constitutes a contractual offer capable of acceptance. Your Order constitutes a contractual offer that We may, at Our sole discretion, accept.  Our acknowledgement of receipt of your Order does not mean that We have accepted it.  Our acceptance is indicated by Us sending you an Order Confirmation by email.  Only once We have sent you an Order Confirmation will there be a legally binding Contract between Us and you.
    • Order Confirmations shall contain the following information:
      • Your Order Number;
      • Confirmation of the Goods ordered including full details of the main characteristics of those Goods;
      • Fully itemised pricing for the Goods ordered including, where appropriate, taxes, delivery and other additional charges;
      • Estimated delivery date(s);
    • We will also include a paper copy of the Order Confirmation with your Goods.
    • In the unlikely event that We do not accept or cannot fulfil your Order for any reason, We will explain why in writing. No payment will be taken under normal circumstances.  If We have taken payment any such sums will be refunded to you as soon as possible and in any event within 5 days.
    • Any refunds due under this Clause 7 will be made using the same payment method that you used when ordering the Goods unless you specifically request that We make a refund using a different method.

 

  1. Payment
    • Payment for Goods and related delivery charges must always be made in advance and you will be prompted to pay during the order process. Your chosen payment method will not be charged until We dispatch your Goods.
    • Payment must be made in full for your Order, without any set-off, counterclaim, deduction, or withholding (except where any deduction or withholding of tax is required by law).
    • We accept the following methods of payment on Our Site:
      • paypal;
      • credit or debit card;

 

  1. Delivery, Risk and Ownership
    • All Goods purchased through Our Site will normally be delivered within 30 calendar days after the date of Our Order Confirmation unless otherwise agreed or specified during the Order process (subject to delays caused by events outside of Our control, for which see Clause 12).
    • If We are unable to deliver the Goods on the delivery date, the following will apply:
      • If no one is available at your delivery address to receive the Goods and the Goods cannot be posted through your letterbox or left in a safe place nominated by you, We will leave a delivery note explaining how to rearrange delivery or where to collect the Goods;
      • If you do not collect the Goods or rearrange delivery within 5 working days, We will contact you to ask you how you wish to proceed. If We cannot contact you or arrange redelivery or collection, We will treat the Contract as cancelled and recover the Goods.  If this happens, you will be refunded the purchase price of the Goods themselves, but not the cost of delivery.  We may also bill you for any reasonable additional cost that We incur in recovering the Goods.
    • In the unlikely event that we fail to deliver the Goods within 30 calendar days of Our Order Confirmation (or as otherwise agreed or specified as under sub-Clause 10.1), if any of the following apply you may treat the Contract as being at an end immediately:
      • We have refused to deliver your Goods; or
      • In light of all relevant circumstances, delivery within that time period was essential; or
      • You told Us when ordering the Goods that delivery within that time period was essential.
    • If you do not wish to cancel under sub-Clause 9.3 or if none of the specified circumstances apply, you may specify a new (reasonable) delivery date. If We fail to meet the new deadline, you may then treat the Contract as being at an end.
    • Delivery shall be deemed complete once We have delivered the Goods to the address including, where relevant, any alternative address you have provided.
    • Ownership of the Goods passes to you once We have received payment in full of all sums due (including any applicable delivery charges).
    • Responsibility for (the risk in) the Goods will pass to you when delivery is complete, as defined in sub-Clause 9.6 OR when ownership of the Goods passes to you, as defined in sub-Clause 9.7.
    • Any refunds due under this Clause 9 will be made using the same payment method that you used when ordering the Goods unless you specifically request that We make a refund using a different method.

10, Faulty, Damaged or Incorrect Goods. Warranty.

10.1 We warrant that the Goods, on delivery shall be as described; be free from material defects in design, material, and workmanship; be of satisfactory quality (as defined by the Consumer rights act 2015); and be fit for any purpose described by us.

10.2 If any Goods you have purchased do not comply, subject to sub-Clause 10.3 and your compliance with sub-Clauses 10.2.1 to 10.2.3, We shall, at Our option, repair the affected Goods, replace them, or issue you with a full refund for the price of the affected Goods as per the Consumer rights act 2015. The following conditions shall apply:

10.2.1 You must give Us written notice of the warranty claim during the first twelve months of owning the product. A Warranty Period (see subclause 10.10) applies to EauFlow RO machines.

10.2.2 You must return the Goods in question to Us (see sub-Clause 10.6 for more information); and

10.2.3 You must give Us a reasonable opportunity to examine the Goods in question.

10.3 We will not be liable for any non-compliance with the provisions of sub-Clause 10.1 of any Goods if any of the following apply:

10.3.1 You have made any further use of the affected Goods after giving Us written notice of the non-compliance under sub-Clause 10.2.1;

10.3.2 With regards to the EauFlow RO, The warranty claim has arisen as a result of your failure to follow our instructions on the correct usage, maintenance, installation, storage or adherence to ‘Recommended Reverse Osmosis package for your water use’ guidelines or ‘recommended basic maintenance’ sheet that arrives in each box.

10.3.3 The warranty claim has arisen as a direct result of any information (incorrect or otherwise) provided by you to Us;

10.3.4 You have made any unauthorised alterations or repairs to the affected Goods; or

10.3.5 The warranty claim is the result of normal wear and tear, deliberate damage, negligence, or abnormal or unsuitable working conditions.

10.4 The terms of this Clause 10 shall also apply to any Goods which are repaired or replaced by Us under sub-Clause 10.2.

10.5 Except as provided in this Clause 10, We shall have no further liability to you with respect to Goods which do not comply with sub-Clause 10.1.

10.6 To return Goods to Us for any reason under this Clause 10, please contact Us at technical@cleancert-hygiene.co.uk to arrange for a collection and return. We will be fully responsible for the costs of returning Goods by way of a refund to your postage if deemed faulty under this Clause 10. If within a 30 day period you may claim a full refund without the option of repair, will offer the option of repair or a refund if within a six month period and the option to repair or offer a partial refund (excluding postage) if within a twelve month period. All reimbursements will be appropriate to the length of time passed and proof of postage costs will be required for returns withing the six month period.

10.7 Refunds (whether full or partial) under this Clause 10 will be issued within 14 days of the day on which We agree that you are entitled to the refund.

10.8 Any and all refunds issued under this Clause 10 will include all delivery costs paid by you when the Goods were originally purchased, and if deemed a manufacturing fault, return postage will also be reimbursed.

10.9 Refunds under this Clause 10 will be made using the same payment method that you used when ordering the Goods.

10.10 Warranty: EauFlow RO – 1 year standard warranty on RO equipment for all parts and labour from date on dispatch, checklist sent out with each package, provided:

10.10.1 Equipment is returned to us here at CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) at customers expense after the first six month period of use.

10.10.2 Installation has been carried out by an engineer that has been formally trained by us. It is not valid on equipment installed by 3rd party engineers, plumbers or other installers.

10.10.3 ‘Basic maintenance procedures’ have been followed and can be independently verified- copies available with each EauFlow RO system and on our website.

10.10.4 Correct RO package has been installed, according to customers’ water hardness, as recommended in our sales literature and on our website.

10.10.5 A 2-year extended warranty (2 year total time period from installation) is only available upon completion and submission of extended warranty card and a copy of the fitting page of the installation manual to CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) via postal means. We will not be held responsible for any warranty cards lost within the postal system.  It is the customers responsibility to ensure the warranty card has been received by us after posting.

10.10.6 This warranty applies to equipment only and does not apply to consumables such as cartridges, deioniser cartridge or filters.

 

  1. Our Liability
    • Subject to sub-Clause 11.4, We will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of business, interruption to business, for any loss of business opportunity, or for any indirect or consequential loss arising out of or in connection with any contract between you and Us.
    • Subject to sub-Clause 11.4, Our total liability to you for all other losses arising out of or in connection with any contract between you and Us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be either £250 or 25% of the total sums paid by you for the Goods under the contract in question, whichever is the greater sum.
    • Except to the extent expressly set out in sub-Clause 10.1, the terms implied by Sections 13 to 15 of the Sale of Goods Act 1979 and by Sections 3 to 5 of the Supply of Goods and Services Act 1982 are excluded.
    • Nothing in these Terms of Sale seeks to limit or exclude Our liability for death or personal injury caused by Our negligence (including that of Our employees, agents or sub-contractors); for fraud or fraudulent misrepresentation; for breach of the terms implied by Section 12 of the Sale of Goods Act 1979 or Section 2 of the Supply of Goods and Services Act 1982; for defective products under the Consumer Protection Act 1987; or for any other matter in respect of which liability cannot be excluded or restricted by law.

 

  1. Events Outside of Our Control (Force Majeure)
    • We will not be liable for any failure or delay in performing Our obligations where that failure or delay results from any cause that is beyond Our reasonable control. Such causes include, but are not limited to: power failure, internet service provider failure, strikes, lock-outs or other industrial action by third parties, riots and other civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism (threatened or actual), acts of war (declared, undeclared, threatened, actual or preparations for war), epidemic or other natural disaster, or any other event that is beyond Our reasonable control.
    • If any event described under this Clause 12 occurs that is likely to adversely affect Our performance of any of Our obligations under these Terms of Sale:
      • We will inform you as soon as is reasonably possible;
      • We will take all reasonable steps to minimise the delay;
      • To the extent that We cannot minimise the delay, Our affected obligations under these Terms of Sale (and therefore the Contract) will be suspended and any time limits that We are bound by will be extended accordingly;
      • We will inform you when the event outside of Our control is over and provide details of any new dates, times or availability of Goods as necessary;
      • If the event outside of Our control continues for more than 7 days, We will cancel the Contract and inform you of the cancellation. Any refunds due to you as a result of that cancellation will be paid to you as soon as is reasonably possible and in any event within 7 days of the date on which the Contract is cancelled and will be made using the same payment method that you used when ordering the Goods;
      • If an event outside of Our control occurs and continues for more than 7 days and you wish to cancel the Contract as a result, contact Us directly to cancel, please use the following details:

In each case, providing Us with your name, address, email address, telephone number, and Order Number.  Any refunds due to you as a result of such cancellation will be paid to you as soon as is reasonably possible and in any event within 14 days of the date on which the Contract is cancelled and will be made using the same payment method that you used when ordering the Goods .

13. Distance selling:

Online, mail and phone order sales

Online, mail and telephone order customers have the right to cancel their order for a limited time even if the goods are not faulty. Sales of this kind are known as ‘distance selling’. We  offer a refund to customers if you’ve told you within 14 days of receiving your goods that you want to cancel. You then have another 14 days to return the goods to us once you’ve told us.

We will then refund you within 14 days of receiving the goods back.

    • We always welcome feedback from Our customers and, whilst We always use all reasonable endeavours to ensure that your experience as a customer of Ours is a positive one, We nevertheless want to hear from you if you have any cause for complaint.
    • All complaints are handled in accordance with Our complaints handling policy and procedure, available from our terms and conditions.
    • If you wish to give Us feedback on any aspect of your dealings with Us, please contact Us in one of the following ways:

17. Other Important Terms

    • We may transfer (assign) Our obligations and rights under these Terms of Sale (and under the Contract, as applicable) to a third party (this may happen, for example, if We sell Our business). If this occurs, you will be informed by Us in writing.  Your rights under these Terms of Sale will not be affected and Our obligations under these Terms of Sale will be transferred to the third party who will remain bound by them.
    • You may not transfer (assign) your obligations and rights under these Terms of Sale (and under the Contract, as applicable) without Our express written permission. We may not permit the assignment if you are not the purchaser of the items..
    • The Contract is between you and Us. It is not intended to benefit any other person or third party in any way and no such person or party will be entitled to enforce any provision of these Terms of Sale.
    • If any of the provisions of these Terms of Sale are found to be unlawful, invalid or otherwise unenforceable by any court or other authority, that / those provision(s) shall be deemed severed from the remainder of these Terms of Sale. The remainder of these Terms of Sale shall be valid and enforceable.
    • No failure or delay by Us in exercising any of Our rights under these Terms of Sale means that We have waived that right, and no waiver by Us of a breach of any provision of these Terms of Sale means that We will waive any subsequent breach of the same or any other provision.
    • We may revise these Terms of Sale from time to time in response to changes in relevant laws and other regulatory requirements. If We change these Terms of Sale as they relate to your Order, We will give you reasonable advance notice of the changes and provide details of how to cancel if you are not happy with them.  If you do opt to cancel, you must return any affected Goods you have already received and We will arrange for a full refund (including delivery charges) which will be paid within 14 days of your cancellation and will be made using the same payment method that you used when ordering the Goods

Data Protection Policy for CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL).

GDPR compliant.

CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) collects and uses information about people with whom it communicates. This personal information must be dealt with properly and securely however it is collected, recorded and used – whether on paper, in a computer, or recorded on other material – and there are safeguards to ensure this in the Data Protection Act 1998.

CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) regards the lawful and correct treatment of personal information as very important to the successful and efficient performance of its functions, and to maintain confidence between those with whom it deals.

To this end CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) fully endorses and adheres to the Principles of Data Protection, as set out in the Data Protection Act 1998.

Purpose

The purpose of this policy is to ensure that the staff, volunteers and trustees of CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) are clear about the purpose and principles of Data Protection and to ensure that it has guidelines and procedures in place which are consistently followed.

Failure to adhere to the Data Protection Act 1998 is unlawful and could result in legal action being taken against CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) or its staff, volunteers or trustees.

Principles

The Data Protection Act 1998 regulates the processing of information relating to living and identifiable individuals (data subjects). This includes the obtaining, holding, using or disclosing of such information, and covers computerised records as well as manual filing systems and card indexes.

Data users must comply with the data protection principles of good practice which underpin the Act. To comply with the law, information must be collected and used fairly, stored safely and not disclosed to any other person unlawfully.

To do this CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) follows the eight Data Protection Principles outlined in the Data Protection Act 1998, which are summarised below:

  1. Personal data will be processed fairly and lawfully
  2. Data will only be collected and used for specified purposes
  3. Data will be adequate, relevant and not excessive
  4. Data will be accurate and up to date
  5. Data will not be held any longer than necessary
  6. Data subject’s rights will be respected
  7. Data will be kept safe from unauthorised access, accidental loss or damage
  8. Data will not be transferred to a country outside the European Economic Area, unless that country has equivalent levels of protection for personal data.

The principles apply to “personal data” which is information held on computer or in manual filing systems from which they are identifiable. CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL)’s employees, volunteers and trustees who process or use any personal information in the course of their duties will ensure that these principles are followed at all times.

Procedures

The following procedures have been developed in order to ensure that CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) meets its responsibilities in terms of Data Protection. For the purposes of these procedures data collected, stored and used by CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) falls into 2 broad categories:

  1. CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL)’s internal data records; Staff, volunteers and trustees
  2. CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL)’s external data records; Members, customers, clients.

CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) as a body is a DATA CONTROLLER under the Act, and the Executive Committee is ultimately responsible for the policy’s implementation.

Internal data records

Purposes

CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) obtains personal data (names, addresses, phone numbers, email addresses), application forms, and references and in some cases other documents from staff, volunteers and trustees. This data is stored and processed for the following purposes:

  • Recruitment
  • Equal Opportunities monitoring
  • Volunteering opportunities
  • To distribute relevant organisational material e.g. meeting papers
  • Payroll

A copy of staff, volunteer, trustee emergency contact details will be kept in the Emergency File for Health and Safety purposes to be used in emergency situations e.g. fire/ bomb evacuations.

Staff, volunteers and trustees will be supplied with a copy of their personal data held by the company if a request is made.

Accuracy

Personal data will be stored for 6 years after an employee, volunteer or trustee has worked for the company and brief details for longer. Unless the company is specifically asked by an individual to destroy their details it will normally keep them on file for future reference. The Director has responsibility for destroying personnel files.

Purposes

CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) obtains personal data (such as names, addresses, and phone numbers) from members/clients. This data is obtained, stored and processed solely to assist staff and volunteers in the efficient running of services. Personal details supplied are only used to send material that is potentially useful. Most of this information is stored on the company’s database.

CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) obtains personal data and information from clients and members in order to provide services. This data is stored and processed only for the purposes outlined in the agreement and service specification signed by the client/ member.

Consent

Personal data is collected over the phone and using other methods such as e-mail. During this initial contact, the data owner is given an explanation of how this information will be used. Written consent is not requested as it is assumed that the consent has been granted when an individual freely gives their own details.

Personal data will not be passed on to anyone outside the company without explicit consent from the data owner unless there is a legal duty of disclosure under other legislation, in which case the Director will discuss and agree disclosure with the Chair/ Vice Chair. Contact details held on the company’s database may be made available to groups/ individuals outside of the company. Individuals are made aware of when their details are being collected for the database and their verbal or written consent is requested.

Access

Only the company’s staff, volunteers and trustees will normally have access to personal data. All staff, volunteers and trustees are made aware of the Data Protection Policy and their obligation not to disclose personal data to anyone who is not supposed to have it.

Information supplied is kept in a secure filing, paper and electronic system and is only accessed by those individuals involved in the delivery of the service.

Information will not be passed on to anyone outside the company without their explicit consent, excluding statutory bodies e.g. the Inland Revenue.

However, unless we are specifically asked by an individual to destroy their details, we will normally keep them on file for future reference.

If a request is received from a company/individual to destroy their records, we will remove their details from the database and request that all staff holding paper or electronic details for the company destroy them. This work will be carried out by the Information Officer.

This procedure applies if CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) is informed that a company ceases to exist.

Criminal Records Bureau

Copies of disclosures are kept for no longer than is required. In most cases this is no longer than 6 months in accordance with the CRB Code of Practice. There may be circumstance where it is deemed appropriate to exceed this limit e.g. in the case of disputes.

Responsibilities of staff, volunteers and trustees

During the course of their duties with CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) staff, volunteers and trustees will be dealing with information such as names/addresses/phone numbers/e-mail addresses of members/clients/volunteers. They may be told or overhear sensitive information while working for CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL). The Data Protection Act (1988) gives specific guidance on how this information should be dealt with. In short to comply with the law, personal information must be collected and used fairly, stored safely and not disclosed to any other person unlawfully. Staff, paid or unpaid must abide by this policy.

Compliance

Compliance with the Act is the responsibility of all staff, paid or unpaid. CleanCert Holdings Ltd t/a CleanCert Hygiene (CHL) will regard any unlawful breach of any provision of the Act by any staff, paid or unpaid, as a serious matter which will result in disciplinary action. Any employee who breaches this policy statement will be dealt with under the disciplinary procedure which may result in dismissal for gross misconduct. Any such breach could also lead to criminal prosecution.

Any questions or concerns about the interpretation or operation of this policy statement should in the first instance be referred to the line manager.

Retention of Data

No documents will be stored for longer than is necessary.

At CleanCert, we believe acting ethically and responsibly is not only the right thing to do, but also the right thing to do for our business. CleanCert has developed this Global Supplier Code of Conduct (“Supplier Code”) to clarify our global expectations in the areas of business integrity, labour practices, employee health and safety and environmental management. This Supplier Code is intended to complement CleanCert ’s Worldwide Business Standards (available under the Corporate Governance section of our website at www.cleancert-hygiene.co.uk) and CleanCert ’s other policies and standards referenced therein.

Suppliers, vendors, and other providers of goods and services who do business with CleanCert entities worldwide (“Suppliers”) are expected to follow this Supplier Code.

Suppliers shall create a work environment in which employees and business partners feel valued and respected for their contributions. Harassment, including unwelcome verbal, visual, physical or other conduct of any kind that creates an intimidating, offensive or hostile work environment will not be tolerated. Suppliers shall not discriminate in employment, including with regard to hiring, compensation, advancement, discipline, termination and retirement, in violation of the laws and regulations, including on the basis of alienage or citizenship, age, colour, creed, disability, gender identity, genetic characteristics, marital status, domestic violence victim status, conviction record, military status, national origin, pregnancy, childbirth-and pregnancy-related medical conditions, race, religion, sex/gender, sexual orientation, or veteran status.

 

  1. Treat employees fairly, including with respect to wages, working hours and benefits.

Suppliers shall comply with all applicable laws and regulations and will generally apply sound employee relations practices. Working hours, wages and benefits will be consistent with laws and industry standards, including those pertaining to minimum wages, overtime, other elements of compensation and legally mandated benefits.

 

 

 

  1. Prohibit all forms of forced or compulsory labour.

Suppliers shall maintain and promote fundamental human rights. Employment decisions will be based on free choice and may not involve forced or prison labour, physical punishment or threats of violence or other forms of physical, sexual, psychological or verbal abuse as a method of discipline or control.

 

  1. Prohibit use of child labour.

Suppliers shall adhere to the minimum employment age limit defined by applicable laws or regulations, and comply with applicable International Labour Organization standards. In no instance shall a Supplier permit children to perform work that exposes them to undue physical risks that can harm physical, mental or emotional development or improperly interfere with their schooling needs.

 

  1. Respect employees’ right to freedom of association and collective bargaining, consistent with applicable laws and regulations.

Consistent with applicable laws and regulations, Suppliers shall respect employees’ rights to join or refrain from joining associations and worker organizations. Supplier will permit workers to openly communicate and share grievances with management about working conditions and management practices without fear of reprisal, intimidation or harassment.

 

  1. Provide safe and healthy working conditions.

Suppliers shall proactively manage health and safety risks to minimize occupational injuries and illnesses. Suppliers must implement management systems and controls that identify hazards and assess and control risk related to their specific industry. Suppliers shall maintain records of work-related accidents, injuries or sicknesses and corrective actions.

 

  1. Carry out operations with care for the environment and comply with all applicable environmental laws and regulations.

When making business decisions, Suppliers are to consider the potential environmental impact of their activities along with opportunities for conservation of natural resources, recycling, source reduction, and pollution control to ensure cleaner air and water, and to reduce landfill wastes.

 

  1. Conflict Minerals.

Suppliers are expected to ensure that products supplied to CleanCert do not contain metals derived from minerals (or their derivatives originated from) conflict regions that directly or indirectly finance or benefit armed groups (including from the Democratic Republic of the Congo or an adjoining country).

 

  1. Maintain accurate financial books and business records.

Suppliers shall maintain accurate financial books and business records in accordance with all applicable laws and regulations and accepted accounting practices.

 

  1. Deliver products and services meeting applicable quality and safety standards.

Suppliers shall have adequate controls in place to ensure the integrity, quality and safety of their products and services provided by Supplier to CleanCert.

 

  1. Support compliance with this Supplier Code by establishing appropriate management processes and cooperating with reasonable assessment processes requested by CleanCert.

Suppliers shall establish appropriate management processes and maintain records to comply with this Supplier Code. With prior notice, CleanCert may conduct reasonable audits to verify Supplier’s compliance with this Supplier Code.

 

  1. Prohibit gifts and entertainment to CleanCert employees.

Suppliers are prohibited from providing or offering gifts or entertainment to CleanCert employees that could inappropriately influence CleanCert’s business decisions or gain an unfair advantage.

 

  1. Report suspected violations of this Supplier Code.

Suppliers’ employees or agents may report suspected violations of this Supplier Code to the CleanCert Confidential Compliance Helpline which is available worldwide, 24 hours a day, 7 days a week at + 44 8443 511115. All such reports are treated as confidential, where permitted by law, and the reporter may remain anonymous, where permitted by law. We note that anonymous report or call may be more difficult to investigate.
